NU-MED USA WEB ASSOCIATE PROGRAM
OPERATING AGREEMENT

This Agreement contains the complete terms and conditions that apply to an individual's or entity's participation in the Nu-MED USA Web Associate Program, also referred to as Nu-MED in this Agreement or "we."  "You" means the applicant.  "Site" means a World Wide Web site and, depending on the context, refers either to Nu-MED's site located at www.nu-med.com or to the site identified in your online registration as the site you will link to our site.

Enrollment in the Web Associate Program

To enroll in the Nu-MED Web Associate Program, you first need to complete the Online Registration Form.  After evaluating your application, Nu-MED will then notify you of your acceptance or rejection.  At our sole discretion, we may reject your application for any reason, but especially if your site is unsuitable for the Nu-MED Web Associate Program.  Examples of unsuitable sites include, but are not limited to, those that:

1. Violate intellectual property rights.

2. Exploit or disclose personal identifying information of children under age 18.

3. Depict sexual content or nudity.

4. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

5. Encourage bigotry, racism or other hate speech, or threats of violence.

6. Advocate illegal activities of any kind.

7. Invade privacy or publicity rights.

8. Include "Nu-MED USA" or variations thereof in their domain names.

All approved Web Associate sites must clearly state "Independent Nu-MED Web Associate" on the web site's home or first page.  Should your online registration be rejected, you are welcome to reapply at any time.  Please note: If your site is determined to be unsuitable anytime after acceptance of your application, we reserve the right to terminate this Agreement without notice.

Independent Contractor Status

Upon acceptance by Nu-MED, the applicant shall become an Independent Nu-MED Web Associate, conducting business for the Web Associate's own account.  As an independent contractor, the Web Associate is responsible for obtaining any licenses required by law in the Web Associate's locality.  The Web Associate is responsible for the entire operation of the business, including payment of all income taxes, Social Security, unemployment and other taxes.  As such, Nu-MED USA will not withhold the foregoing from any compensation due the Web Associate unless a tax identification number is not provided (Social Security or Federal ID Number).

All Nu-MED Web Associates are independent sales representatives of Nu-MED and are not considered purchasers of a franchise or a distributorship. The agreement between Nu-MED and its independent Web Associates does not create an employer/employee relationship, agency, partnership or joint venture between the company and Web Associates.  Each Web Associate shall hold Nu-MED harmless from any claims, damages or liabilities arising out of the Web Associate's business practice. Independent Web Associates have no authority to bind Nu-MED to any obligation. Each Web Associate is obligated to fully comply with the Nu-MED Operating Agreement.

Link to Your Site

Once Nu-MED has determined your web site is acceptable for the Nu-MED Web Associate Program, we will provide you with a special "tagged" link to the Nu-MED corporate web site at http://www.nu-med.com .  At this time, we will also provide you with simple instructions and artwork to use in linking to our home page. 

Note: To ensure we credit your account with the proper referral activity, you must use our special tagged link when linking from your site to the Nu-MED site.  Nu-MED is not liable for any failure on the part of a Nu-MED Web Associate or a visitor to use the tagged link, including any referral payments for retail product purchases made on the Nu-MED site.

Order Processing

Nu-MED will process and fulfill any retail product orders placed by customers who follow the special tagged link from your site to the Nu-MED site.  However, we reserve the right to reject orders that do not comply with any requirements we periodically may establish.

All Nu-MED USA orders must be prepaid with an acceptable credit card (American Express, Visa, Discover (Novus Network) or MasterCard.  Nu-MED USA will not ship orders C.O.D. (cash on delivery).

Referral Fees

We will pay you a 15% referral fee on all retail product sales placed by third parties following the tagged link from your site to the Nu-MED web site, less any taxes, shipping and handling fees, etc.  To be eligible to earn a referral fee, your customer must follow the tagged link from your site to our site, purchase product using our automated ordering system, remit full payment for the product to Nu-MED and accept delivery of the product at the shipping destination.

Nu-MED will not pay referral fees on any product purchases that are not made through the special tagged link from your site to the Nu-MED site, even if the customer previously followed a link from your site to our site.  Also, Nu-MED does not pay referral fees on products purchased during sessions initiated through the link on your site for your own use, for resale or commercial use of any kind.  This includes purchases for customers or for friends, relatives and associates.  Such purchases may result in the termination of this Agreement.

Web Associates may not directly or indirectly offer any incentive to your customers for using the special Nu-MED link on your site.  If we determine an incentive has been extended, we reserve the sole right to withhold all applicable referral fees and terminate this Agreement.

Special Notes Regarding Referrals

Should a customer linking from your site decide to become a Nu-MED Web Associate, you will only be eligible to receive referral fees on the first order if the order is placed at the same time they join the Web Associate Program.

New customers not accessing the Nu-MED site through an existing Web Associate site will be referred as usual to a traditional Nu-MED Associate according to the provisions of the Nu-MED USA PartnerShip Program.  Important: Web Associates are not eligible to participate in the Nu-MED USA Compensation Plan, or any contest, incentive or recognition offered as part of becoming a traditional Independent Associate with Nu-MED.  Traditional Associates are defined as those who complete an Independent Associate Application & Agreement, plus purchase a Business Kit for $249.00 plus tax. 

Referral Fee Payment

Nu-MED will send you a monthly check for any referral fees earned from the retail sale of our products through the tagged link on your site and shipped during the previous month, less any taxes or fees.  Referral fees are paid approximately 15 - 20 days following the last day of each month.  However, if the referral fees payable to you are less than $10.00, we may hold those referral fees until the total amount due is at least $10.00 or until this Agreement is terminated.

Based on customer returns, Nu-MED will automatically adjust any referral fees already paid to Nu-MED Web Associates on their next month's check.  If there is no subsequent payment, we will send you a bill for the referral fee.

Note: All orders must be received by Nu-MED no later than the last business day of the month in order to count toward the current month's volume.

Policies & Retail Pricing

All customers buying Nu-MED products through the Web Associate Program will be considered to be customers of Nu-MED.  Accordingly, all Nu-MED rules, policies and operating procedures concerning customer orders, customer service and retail product sales will apply to those customers.  Please keep in mind Nu-MED reserves the right to change or modify its rules, policies and procedures at any time, including suggested retail pricing.

Nu-MED 30-Day Money Back Guarantee

Nu-MED offers an unconditional, 30-day money-back guarantee on all Nu-MED products. If a retail customer is dissatisfied with the product(s) for any reason within 30 days of the sale, Nu-MED will refund or replace the retail purchase price promptly, provided the customer calls the corporate office for a Return Goods Authorization (RGA) number. Using the RGA number on the shipping label, it is the responsibility of the customer to ship any remaining unused product back to the company. Nu-MED will not accept product returns without an authorization number.

Shipping Address

To ensure prompt deliveries, please provide a street address and be sure to indicate if it is a rural address. Deliveries to a P.O. Box or General Delivery cannot be guaranteed.

Shipping Carrier

Shipment is usually by a package delivery service. Large orders may instead be sent by common carrier (trucking), whichever is most cost and time effective. This decision is at the sole discretion of Nu-MED USA.  All customers are charged a 6% shipping and handling fee or $6.00 (whichever is greater) based on the actual dollar amount of the order.

Express Shipping

Customers electing to pay the difference in cost may request their orders be shipped by next day or 2^nd day air freight which is more expensive than standard shipping. Please email Customer Services at  for additional shipping information.

Free Shipping

Nu-MED Web Associate customers may receive free shipping & handling by:

1. Placing retail orders of $1,500 or more;

2. Placing retail AutoShip orders of $75 or more;

3. Becoming a traditional Associate and placing any wholesale order with the purchase of a Business Kit for $249.00 plus tax.

Customer Shipping Inquiries

Customers should notify Nu-MED immediately if an order is not received within 10 business days from the date of the order. 

Upon receipt of a shipment, match the number of shipping cartons with the "number shipped" on the bill of lading that you receive with the shipment.  Please contact Nu-MED within 5 business days if any boxes are missing from your shipment.

Should one or more products be missing from a shipment, Nu-MED USA will require the order number and item number(s) of the missing product(s). Customers have 30 calendar days from the date of the order to report items that have not been received. After this period, the order will be considered as delivered in full.

Defective & Damaged Goods

All shipments are made with full inspection before leaving the Nu-MED Distribution facility. However, despite our best efforts, there may be an occasion when a customer receives a defective or damaged product.

Customers receiving a defective product should:

1. Set aside the defective product;

2. Call Customer Services at 1-800-325-8482 to arrange for the product to be re-shipped, and to arrange for the defective product to be returned to the corporate office at the company's expense.

Product(s) of equal value will be promptly shipped to the customer to replace the damaged goods.

Lost Shipments

Occasionally, a carrier will lose a shipment.  Before assuming the order is lost, customers should wait a minimum of 10 business days for standard orders and 5 business days for express orders.  If an order does not arrive within these time frames, customers should contact Customer Services at 1-800-325-8482.

Back Orders

While Nu-MED makes every effort to keep back orders to a minimum, there may be times when a backorder situation is unavoidable. Backorders are filled first when new inventory arrives.  Backorders will be billed at the time the order is shipped.  

Sales Tax

Sales taxes are levied by various state, county and local government agencies based on suggested retail prices.  Several Nu-MED USA products are subject to sales tax, depending on the location to which they are shipped.  Nu-MED may therefore collect applicable sales tax based on the purchase price of the product, and will remit proper taxes to each state, county, and city which is entitled to receive this tax by law.

Other Taxes

Since Nu-MED Web Associates are independent contractors, Nu-MED USA does not deduct any taxes from commission, override or bonus checks.  Following each  calendar year, Nu-MED USA issues an Internal Revenue Service Form 1099 (or equivalent) which reports all income paid to the Web Associate by Nu-MED, as required by the IRS.

Company Tax Reporting

Following each calendar year, Nu-MED USA will provide IRS 1099 forms (or equivalent) to all Web Associates receiving referral fees of $600 or more.  If earnings are less, Nu-MED USA will only provide this form to the Web Associate upon request. Each Web Associate is responsible for reporting individual earnings to the IRS.

Monthly Business Reports

Each active Web Associate receiving a referral fee check will receive a monthly referral fee and volume report detailing his/her account activity. Please bear in mind that these reports are confidential and only provided to you to assist you in developing your Web Associate business. Any other use may result in immediate termination of your Web Associate status by Nu-MED.

Promotion

You may not make any press release with respect to this Agreement or your participation in the Nu-MED Web Associate Program without the prior written consent of Nu-MED.  Additionally, you may not misrepresent your relationship with Nu-MED (including by expressing or implying that Nu-MED supports, endorses or contributes money to any charity or cause).

Limited License

As a Nu-MED Web Associate, Nu-MED grants a nonexclusive, revocable right to place the special tagged link connecting the Nu-MED site to your site.  However, you may not modify the graphic image or text in any way.  We reserve all of our rights to this graphic image and text, as well as to our trade names, trademarks and all other intellectual property rights.  Web Associates may not reproduce or otherwise promote in any manner the Nu-MED name, logo or proprietary trademarks without prior written permission from Nu-MED.  We reserve the sole right to revoke your license at any time by giving you written notice.

Responsibility for Your Site

Nu-MED Web Associates are solely responsible for the development, operation and maintenance of their sites, and for all material appearing on their sites.  Nu-MED disclaims all liabilities for these matters.  Further, Web Associates indemnify and hold Nu-MED harmless from all claims, damages and expenses relating to the development, operation, maintenance and content of their sites.

Term of Agreement

The term of this Agreement begins upon Nu-MED's confirmed acceptance of your online registration and ends when terminated by either party in writing for any reason.  Upon termination of this Agreement, former Web Associates must cease using the special tagged link to the Nu-MED site, as well as trademarks, logos or other materials we may provide to you in connection with the Web Associate Program.

Web Associates may only earn referral fees on sales of products made during the term of the Agreement, and referral fees earned through the date of termination will remain payable only if the related orders are not cancelled or returned.  Nu-MED may withhold final referral fee payments for a reasonable time to ensure that the correct amounts have been paid. 

Policy Changes

Nu-MED retains the sole right to make policy changes, or changes to its marketing plan, without prior written notice in order to maintain a viable marketing system and compliance with all applicable state and federal laws.

Limitation of Liability

Nu-MED is not liable for indirect, special or consequential damages (or any loss of revenue, profits or data) arising in connection with this Agreement or the Web Associate Program.  Furthermore, our aggregate liability will not exceed the total referral fees paid or payable to a Web Associate under this Agreement.

Disclaimers

Nu-MED makes no representation that the operation of its web site will be uninterrupted or error-free, and we are not liable for the consequences of any such interruptions or errors.

Ethics

Web Associates must comply with all federal, state and municipal laws relating to their businesses and must not engage in any unlawful or illegal trade practices or business activity. Web Associates shall conduct their businesses in a manner that reflects the highest standards of honesty, integrity and responsibility toward customers, Nu-MED and the public, observing the spirit, as well as the letter, of the Operating Agreement.

Company Names, Trademarks & Logos

Nu-MED company employee names, corporate names, trademarks and logos are proprietary, and may not be used in any manner without prior written approval of Nu-MED.  Any approved use of such corporate names, trademarks or logos must indicate that the Web Associate is an "independent contractor" or "Independent Web Associate" with Nu-MED USA.

Keep in mind that only the Nu-MED corporate name and logos, or the names and logos of Nu-MED products, can be used in retail product advertising. Advertisements to attract Web Associates to the business opportunity must run "blind," i.e. without reference to Nu-MED or any Nu-MED products. Use of the Nu-MED corporate name or logo alone is prohibited. Any use of the company name, trademarks or logos must be submitted in writing to Nu-MED USA, and you must receive written approval from the company prior to use in any form.  Written approval from Nu-MED must be requested prior to each publication.

Advertising Guidelines

Nu-MED encourages advertising and promotion as a viable method for Web Associates to build their businesses, as long as they abide by the Nu-MED Operating Agreement.

Each Web Associate is an independent contractor, not an employee of Nu-MED, and therefore, cannot represent himself/herself as such. The Web Associate is fully responsible for all his/her verbal and written statements made regarding the Nu-MED Web Associate opportunity and products which are not contained in the current Web Associate Operating Agreement or advertising or promotional materials supplied directly by Nu-MED.  Web Associates agree to hold Nu-MED harmless from any and all liability, including judgements, civil penalties, refund, attorney fees, court costs, or lost business incurred as a result of unauthorized Web Associate representations.

Product Liability Insurance & Claims

Nu-MED maintains product liability insurance on all of its products. This coverage does not apply to Web Associates making unauthorized verbal or written claims, or misapplication of products.

Web Associates are not permitted to make any claims, verbal or written, regarding Nu-MED products unless pre-approved in writing by Nu-MED or obtained from the Nu-MED web site.  No medical claims are allowed since results may vary among individuals. 

Income Representations

Income representations are not permitted. Since the financial success of any Web Associate depends primarily upon the time and effort a Web Associate is willing to invest in building his or her independent business, incomes and results will vary.  

Advertising Approvals

Web Associates may only promote or advertise Nu-MED products and/or opportunity using promotional materials made available to them by Nu-MED and its web site. Any other materials, including literature, audio and visual sales aids, must be approved in writing by Nu-MED before the material is displayed, distributed or published.

No reproduction of Nu-MED literature or labels is allowed.  Only original materials as furnished by Nu-MED may be used. All Nu-MED literature is copyrighted and cannot be duplicated in any form without express written permission from the company.

When promoting Nu-MED products, Web Associates may not display them with any other nutritional or skin care products.  Also, Web Associates may not alter the image of any approved use of Nu-MED product photography or video displayed on their sites under any circumstance.

Recordings

All Nu-MED materials including audio and visual promotional material are copyrighted. Web Associates may not produce or distribute any information relative to the contents, characteristics, or properties of Nu-MED product and/or opportunity that has not been provided directly by Nu-MED.  Web Associates may not reproduce any Nu-MED publications or audio/visual productions. In addition, Web Associates may not record by audio or video any Nu-MED opportunity meetings or other corporate functions without written approval from Nu-MED USA.

In the case of Web Associate-generated audio and visual materials, a hard copy of the script must be pre-approved in writing by Nu-MED prior to recording. The cover and label of corporate-approved audio and visual materials must identify the Web Associate who has produced the material and clearly indicate he or she as an Independent Web Associate.  Videos, audio recordings and the like must identify the Web Associate as an Independent Web Associate at the beginning of the recording.

Public Advertising Media

Promoting Nu-MED using public advertising media such as radio or television (network or cable) broadcasts or other electronic media including the internet or any other online service, etc., is prohibited without the express written permission of the company.

Media Inquiries

Any inquiries by the media are to be referred immediately to the Nu-MED Marketing Department. This policy is to help assure accuracy, as well as a consistent public image.

Independent Investigation

A Web Associate acknowledges that he/she has conducted an independent investigation of the Web Associate Program and recognizes that the business venture contemplated by the Independent Web Associate Operating Agreement will be dependent upon the ability of the Web Associate as an independent business person.  Nu-MED expressly disclaims the making of, and the Web Associate acknowledges that he/she has not received, any warranty or guarantee, express or implied, of potential volume, profits or success of the business venture contemplated. 

Arbitration

Any controversy or claim arising out of or relating to the Nu-MED Web Associate Operating Agreement or any breach thereof, including, without limitation, any claim that said Agreement, or any part thereof, is invalid, illegal or otherwise voidable or void, shall be submitted to arbitration to be conducted in Ft. Lauderdale, Florida in accordance with the Commercial Rules of Arbitration of the American Arbitration Association and judgement upon the award may be entered in any court having jurisdiction thereof; provided, however, that this clause shall not be construed to limit the right of Nu-MED to apply to any court of competent jurisdiction for appropriate injunctive relief for infringement of any Nu-MED service or trademarks.
